Terms of Service

These Terms of Service (“Terms”) govern your use of overrank (“Service”), operated by Aurum Days LLC (“Company,” “we,” “us”), a California limited liability company. By accessing or using the Service, you agree to be bound by these Terms.

1. Service Description

overrank is an automated SEO blog generation platform that researches keywords, generates AI-written articles, and publishes them to your website. The Service includes keyword discovery, article generation, scheduling, analytics, and related features.

2. Account Registration

You must create an account using Google OAuth to access the Service. You are responsible for maintaining the security of your account and all activities that occur under it. You must be at least 18 years old to use the Service.

3. Subscription & Billing

  • The Service offers paid subscription plans. Your card is charged immediately on signup. There is no free trial.
  • Subscriptions renew automatically at the end of each billing cycle (monthly or annually).
  • You may cancel your subscription at any time through the billing portal. Cancellation takes effect at the end of the current billing period and the remainder of the current cycle is not refunded except under the 7-day money-back guarantee described below.
  • 100% money-back within 7 days: a full refund is available if requested within seven (7) days of your first paid charge, for any reason, no questions asked. After that 7-day window has elapsed, all payments are final and non-refundable, including renewal charges, mid-cycle cancellations, unused subscription time, partial months, partial years, and forgotten or unnoticed renewals.   • Add-on programs are separate and non-refundable: the 7-day money-back guarantee applies to the overrank subscription only (the monthly and annual plans). Add-on programs, including the Pro Keyword Strategy add-on and any Backlinks package, are separate purchases not covered by the 7-day money-back guarantee. The Pro Keyword Strategy add-on is non-refundable from the moment of purchase. Backlink placements are non-refundable once ordered, and the recurring Backlinks Monthly Authority plan may be cancelled to stop future charges but is not eligible for a refund.
  • By starting a paid subscription you acknowledge and agree that no refund will be issued outside the 7-day window described above.

4. AI-Generated Content

  • Articles generated by the Service are created using artificial intelligence (Claude by Anthropic).
  • You own the content generated for your account and may use it for any lawful purpose.
  • We do not guarantee that AI-generated content is factually accurate, original, or free from errors. You are responsible for reviewing content before publication.
  • We are not liable for any claims arising from the publication of AI-generated content on your website.

You acknowledge that the Service can publish AI-generated content to your website automatically on your behalf, on a schedule you configure. You may switch to manual review at any time in your account settings so that no article publishes until you approve it. Whether you use automatic or manual publishing, you remain solely responsible for reviewing, approving, monitoring, editing, and removing content on your website. Your election to use automatic publishing is your acknowledgment that content may go live before you have individually reviewed it, and you accept that risk.

5. Acceptable Use

You agree not to use the Service to generate content that is illegal, defamatory, infringing, harmful, or violates our Acceptable Use Policy. We reserve the right to suspend or terminate accounts that violate these terms.

6. Third-Party Services

The Service integrates with third-party services including Google Search Console, Stripe, Unsplash, Serper, and others. Your use of these integrations is subject to their respective terms of service and privacy policies.

7. Data & Privacy

We collect and process data as described in our Privacy Policy. By using the Service, you consent to our data practices.

8. Intellectual Property

The Service, including its design, features, and technology, is owned by Aurum Days LLC. You may not copy, modify, distribute, or reverse engineer any part of the Service. Your content remains yours.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND REGARDLESS OF THE LEGAL OR EQUITABLE THEORY ON WHICH A CLAIM IS BASED (WHETHER CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, WARRANTY, OR OTHERWISE):

  • NEITHER AURUM DAYS LLC NOR ITS OWNERS, MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, OR SUPPLIERS SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; FOR ANY LOSS OF PROFITS OR REVENUE, LOSS OF DATA, LOSS OF GOODWILL OR REPUTATION, OR BUSINESS INTERRUPTION; OR, WITHOUT LIMITATION, FOR ANY LOSS OF, OR DECLINE IN, SEARCH ENGINE RANKINGS, SEARCH VISIBILITY, INDEXING, IMPRESSIONS, TRAFFIC, LEADS, SALES, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATING TO THE SERVICE, WHETHER OR NOT SUCH LOSSES WERE FORESEEABLE AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  • OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU ACTUALLY PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).
  • THESE LIMITATIONS FORM AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND US, THE PRICING OF THE SERVICE REFLECTS THEM, AND THEY APPLY EVEN IF ANY LIMITED REMEDY IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

Some jurisdictions do not allow certain of the above exclusions or limitations, so some may not apply to you. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including, under California Civil Code Section 1668, liability for our own fraud, willful injury, or violation of law.

10. Disclaimer of Warranties; No Guarantee of SEO Results

THE SERVICE, AND ALL CONTENT, ARTICLES, KEYWORDS, ANALYTICS, AND OTHER OUTPUTS IT GENERATES, ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

No guarantee of results. Search engine optimization is inherently uncertain. You acknowledge and agree that:

  • We do not and cannot guarantee any particular search engine ranking, position, indexing, impression, click, visit, lead, conversion, sale, or amount of revenue or traffic, nor any improvement in, or maintenance of, any of the foregoing.
  • Search engines, including Google, independently determine whether and how to crawl, index, rank, and display any website, using proprietary algorithms and criteria that are outside our knowledge and control and that change frequently and without notice.
  • Rankings and traffic naturally fluctuate and may rise or fall for many reasons unrelated to the Service, including search engine algorithm updates, manual actions or penalties, changes that you or others make to your website, your hosting or technical configuration, competitor activity, and market conditions.
  • We do not control and are not responsible for any decision by a search engine to de-index, downrank, penalize, filter, or remove your website or any page, or for any decline in, or loss of, rankings, visibility, or traffic that you may experience while using or after using the Service, whether or not you attribute it to the Service.
  • Publishing content, including AI-generated content, carries inherent SEO and editorial risk. You are solely responsible for reviewing, approving, and monitoring all content before and after publication, and for maintaining backups of your website and content.

You acknowledge that search engines maintain and frequently change policies concerning automated, scaled, and AI-generated content, and that content generated or published through the Service may be subject to those policies. Ensuring that your content and your use of the Service comply with the guidelines, spam policies, and quality policies of any search engine or platform is your responsibility. We make no warranty that content generated or published through the Service complies with, or will not be treated adversely under, any search engine’s policies, including those addressing automated or scaled content.

overrank and Aurum Days LLC are independent, and are not affiliated with, endorsed by, sponsored by, or in partnership with Google LLC, Alphabet Inc., or any other search engine or third-party platform. All third-party names and marks are the property of their respective owners.

10.1 The 90-Day Results Guarantee (Limited Express Exception)

As a narrow, express exception to the disclaimers in this Section 10, we offer the limited guarantee described below (the “90-Day Results Guarantee”). It is the only results-related promise we make. It does not modify, waive, or enlarge any other provision of these Terms, including the Limitation of Liability in Section 9, and it is void where prohibited by law.

  • What it covers. If, within ninety (90) days after both (a) overrank has been connected and is actively publishing to your live, publicly accessible website and (b) you have connected Google Search Console to your account so that we can verify performance, your overrank-published articles have received zero (0) impressions in Google Search Console, then, upon your written request, we will continue to publish articles to your website at no additional charge until your overrank-published articles receive at least one (1) impression in Google Search Console.
  • “Impressions” defined. An “impression” means an impression for one of your overrank-published URLs as reported by Google Search Console. Google Search Console is the sole and exclusive measure of impressions for this guarantee, and our good-faith determination of whether the condition has been met is final.
  • Sole and exclusive remedy. Continued publishing at no additional charge is the sole and exclusive remedy under this guarantee. It does not entitle you to any refund, credit, cash, chargeback, discount, damages, or other compensation, it has no cash value, and it does not extend, toll, reopen, or otherwise affect the 7-day money-back window described in Section 3.
  • Conditions. The guarantee applies only if all of the following are and remain true for the entire 90-day period and through the date we resolve your claim: (a) overrank was connected and actively publishing to your live site for substantially the entire period; (b) you connected Google Search Console to your account so impressions could be verified, and if Google Search Console is not connected, impressions cannot be verified and the guarantee does not apply; (c) your subscription is active and in good standing and was not paused, cancelled, downgraded, past due beyond any grace period, or in breach of these Terms; (d) you did not remove, delete, hide, noindex, password-protect, relocate, or otherwise interfere with the overrank-published articles or with your site’s crawlability or indexing; and (e) you requested the guarantee in writing to hello@overrank.ai within thirty (30) days after the end of the 90-day period.
  • When the 90 days begins. The 90-day period begins when overrank is connected and actively publishing on your live site, which may be later than your signup or first-payment date. It does not begin or continue to run during any period in which overrank is not connected, your site is not live, or publishing is paused.
  • Exclusions. The guarantee does not apply, and no obligation to continue publishing arises, where the absence of impressions results in whole or in part from any cause outside our reasonable control, including but not limited to: your website being offline, removed, deindexed, penalized, filtered, or subject to a manual action; robots.txt, meta-robots, canonical, or other directives, plugins, themes, or settings that block or limit crawling or indexing; your hosting, domain, DNS, or technical configuration; your removal, alteration, or non-publication of the articles; search engine algorithm changes; a newly created domain or site with limited crawl history; your violation of these Terms, our Acceptable Use Policy, or any search engine’s guidelines; or events of force majeure.
  • No guarantee of rankings, traffic, clicks, leads, or revenue. This guarantee covers impressions only, meaning whether your content appears at all in Google search. It is not a guarantee of any particular ranking or position, any number of impressions beyond one, any clicks, visits, traffic, leads, conversions, sales, or revenue, or any particular result at any particular time within the 90 days. Except for this narrow guarantee, the disclaimers in this Section 10 apply in full.
  • Changes. We may modify, suspend, or discontinue this guarantee at any time on a prospective basis. The version in effect at the start of your then-current subscription term applies to that term. This guarantee is personal to your account and is non-transferable.

11. Indemnification

You agree to indemnify and hold harmless Aurum Days LLC from any claims, damages, or expenses arising from your use of the Service, your content, or your violation of these Terms.

12. Affiliate Program

If you participate in the overrank Affiliate Program (the “Program”), the following terms apply in addition to the rest of these Terms. We administer the Program through our affiliate platform partner, FirstPromoter, which tracks referrals, calculates commissions, and processes payouts on our behalf.

12.1 Eligibility

  • You must be at least 18 years old and legally able to enter into binding contracts.
  • You must apply through our affiliate signup page and be approved. We may deny or revoke participation at our sole discretion for any lawful reason.
  • You are not an employee, agent, joint venturer, or partner of Aurum Days LLC. The Program creates an independent-contractor relationship only.

12.2 Commission & Attribution

  • Commission rate: 30% of the recurring subscription revenue we collect from each customer you refer on the overrank Growth subscription, paid for as long as that customer maintains an active paid subscription (“lifetime” commission). Commissions apply to the overrank Growth subscription plan only. They do not apply to add-on programs or upsells, including the Pro Keyword Strategy add-on, any Backlinks package (whether one-time placements or the recurring Monthly Authority plan), the Launch Package, and the Agency plan. No commission is earned on revenue from those purchases. Affiliates who joined at a previously higher commission rate keep that rate; a reduction in the commission percentage applies only to affiliates who join after the change takes effect.
  • Attribution window: 30 days from the visitor’s first click on your unique referral link. Last-click attribution applies, so if a visitor clicks multiple affiliate links, the most recent one within the window earns the commission.
  • Commission events: commissions accrue on each successful billing cycle (initial payment plus every renewal). Commissions are reversed in full when a customer charges back, refunds, or disputes a payment.
  • Self-referrals: using your own affiliate link to refer your own account or any account you control is prohibited. Such commissions will be reversed.

12.3 Payouts

  • Payouts are processed monthly via FirstPromoter, subject to a $50 minimum threshold and a 30-day commission-confirmation period to allow for refunds and chargebacks.
  • Payment is made via PayPal or bank transfer, as selected in your FirstPromoter affiliate dashboard.
  • You are solely responsible for all taxes, fees, and reporting obligations associated with commissions you earn. We may require a valid IRS Form W-9 (US persons) or W-8BEN (non-US persons) before issuing payouts.

12.4 Prohibited Promotion Methods

The following activities are strictly prohibited and will result in immediate termination from the Program and forfeiture of any pending commission:

  • Sending unsolicited bulk email, SMS, or messaging (spam) referencing overrank or your affiliate link.
  • Making false, misleading, or deceptive claims about overrank, its pricing, its features, or its results.
  • Impersonating overrank, Aurum Days LLC, or any of our employees, partners, or other affiliates.
  • Bidding on or using the trademarks “overrank,” “Aurum Days,” or any confusingly similar variant as keywords in paid search advertising (including Google Ads, Bing Ads, or similar platforms).
  • Promoting overrank on coupon, cashback, or deal-aggregator sites without our prior written consent.
  • Using bots, automated traffic, click farms, incentivized signups, or any other artificial method to generate referrals.
  • Failing to clearly disclose your affiliate relationship as required by the U.S. Federal Trade Commission’s endorsement guidelines (or your local equivalent). At minimum, all promotional content must include a clear and conspicuous disclosure such as “affiliate link” or “I earn a commission if you sign up.”
  • Any activity that violates our Acceptable Use Policy or any applicable law.

12.5 Limited Trademark License

For the duration of your active Program participation, we grant you a limited, non-exclusive, non-transferable, revocable license to use the overrank name and logo solely to promote the Service via your unique referral link. You may not modify the logo, use the marks in domain names, or use them in any manner that suggests endorsement beyond an affiliate relationship.

12.6 Confidentiality

Your affiliate dashboard, referral data, commission balances, and any other non-public Program information are confidential. You agree not to disclose this information to third parties except as required to file taxes or by court order.

12.7 Termination & Modification

  • We may suspend or terminate your Program participation at any time, with or without cause, by notice to the email associated with your affiliate account. Upon termination, all unpaid commissions earned through compliant activity prior to termination will be paid out on the next scheduled cycle, unless termination is for fraud or breach of these Terms in which case pending commissions are forfeit.
  • We reserve the right to modify the Program at any time, including commission rates, attribution windows, payout terms, prohibited methods, or eligibility. We will provide at least thirty (30) days’ notice of any material reduction in commission rate or duration for existing affiliates. Other changes take effect upon posting unless otherwise stated.

12.8 No Guarantee of Earnings

We make no representation or warranty regarding the amount of commissions you will earn through the Program. Earnings depend on factors outside our control, including your promotional efforts, audience, conversion rates, and customer retention.

13. Modifications

We may update these Terms at any time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance.

14. Termination

We may suspend or terminate your account at any time for violation of these Terms. Upon termination, your right to use the Service ceases immediately. We may delete your data 30 days after termination.

15. Assumption of Risk and Customer Responsibilities

You understand and voluntarily assume the risks described in these Terms, including the uncertainty of search engine optimization and the possibility that your rankings, visibility, or traffic may decline. You are responsible for: (a) maintaining and securing your own website, hosting, and integrations; (b) reviewing and approving content before it is published, and monitoring it afterward; (c) maintaining independent backups of your website and content; (d) ensuring that content published to your website complies with applicable laws and with the terms and guidelines of any search engine or publishing platform you use; and (e) your own business decisions made in reliance on the Service. You agree that you use the Service at your own risk and discretion.

16. Time Limit on Claims

To the maximum extent permitted by applicable law, any claim or cause of action arising out of or relating to the Service or these Terms must be filed within one (1) year after the claim or cause of action first arose; otherwise, it is permanently barred.

17. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. In particular, if any limitation of liability, disclaimer, or waiver in these Terms is held unenforceable in whole or in part, it will apply to the fullest extent permitted by law, and the remainder of these Terms will continue to apply.

18. Entire Agreement; No Waiver; Assignment

These Terms, together with the Privacy Policy, Refund Policy, and Acceptable Use Policy, constitute the entire agreement between you and Aurum Days LLC regarding the Service and supersede any prior agreements or understandings. Our failure to enforce any provision is not a waiver of our right to enforce it later. You may not assign these Terms without our prior written consent; we may assign them, including in connection with a merger, acquisition, or sale of assets.

19. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law provisions. You and Aurum Days LLC agree that the exclusive jurisdiction and venue for any dispute arising out of or relating to the Service or these Terms will be the state and federal courts located in California, and each party consents to personal jurisdiction there. TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ANY RIGHT TO A TRIAL BY JURY.
